Volkswagen and XPENG on paper: three dated releases trace the 'In China, for China' partnership from the $700 million framework agreement to the Master Agreement and the China Electrical Architecture

Volkswagen Group's cooperation with XPENG is documented in a sequence of the company's own dated releases, each aimed at the Chinese market. The first, dated 26 July 2023 and issued from Beijing and Wolfsburg, announced a technological framework agreement between the VW brand and XPENG and an investment of approximately US$700 million in XPENG by way of a capital increase, giving Volkswagen about a 4.99 percent stake at US$15 per American Depositary Share, with an observer seat on XPENG's board. The initial stage of the cooperation provided for the joint development of two VW brand electric models for the mid-size segment in the Chinese market, to supplement the MEB product portfolio and be rolled out in 2026 in China, subject to the conclusion of final agreements.

The Master Agreement of February 2024

The second document, dated 29 February 2024, recorded that Volkswagen had in December 2023 completed the acquisition of around 4.99 percent of XPENG's total issued and outstanding share capital, and that the partners had entered into a Master Agreement on platform and software collaboration. It set a timeline: the first two models, both mid-size Volkswagen brand vehicles for the Chinese market, were to hit the road in 2026, with the collaboration starting with an SUV. The release also stated that joint purchasing activities and the use of innovative technologies in design and engineering would reduce development time by more than 30 percent, with the Volkswagen China Technology Company (VCTC) in Hefei acting as a central interface.

The Master Agreement also introduced a Joint Sourcing Program for common vehicle and platform parts used by both partners, which Volkswagen said was meant to provide cost advantages through its supply chain and improve the economic competitiveness of the jointly developed mid-size intelligent connected vehicles.

The China Electrical Architecture, April 2024

The third document, dated 17 April 2024, announced the jointly developed China Electrical Architecture (CEA), a zonal Electrical/Electronic architecture developed by experts from XPENG, VCTC and CARIAD China. Volkswagen said the zonal structure would reduce the number of electronic control units in previous systems by up to 30 percent, and that advanced features such as autonomous driving could be integrated and continuously updated over the air. The architecture was envisaged for locally produced VW brand electric vehicles in China from 2026, initially focusing on vehicles on locally developed platforms, including four VW brand entry-level compact-class models on the China Main Platform (CMP) developed by VCTC with the joint ventures SAIC Volkswagen and FAW-Volkswagen.

The cost targets behind the architecture

The April 2024 release tied the CEA to a cost target: by reducing complexity and the number of control units, the architecture was described as making a significant contribution to achieving the 40 percent cost-reduction target for the China platform compared with MEB. The same release said that around 3,000 development and procurement experts would work on new intelligent connected vehicles at VCTC, while CARIAD China, with more than 1,000 experts, targeted shortening development times by up to 30 percent.

What the documents cover, and what they frame as targets
